1. Welcome & Acceptance of Terms

Welcome to ArgoPrep! The ArgoPrep platform and all associated services (collectively, the "Service") are owned and operated by Argo Brothers Inc., a company organized and existing under the laws of the State of New York, doing business as ArgoPrep ("ArgoPrep," "we," "us," or "our"). Our principal place of business is located at 900 Lenox Road, 1st Floor, Brooklyn, NY 11203.

ArgoPrep is an online educational platform designed for students in kindergarten through eighth grade (K-8). Our Service provides a comprehensive suite of educational tools and resources, including but not limited to: interactive practice questions, video lectures, quizzes, practice drills, downloadable and printable worksheets, digital e-books, and a physical workbook store where users may purchase printed educational materials. Our mission is to provide high-quality, standards-aligned educational content that helps students build confidence and achieve academic success.

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "User") and Argo Brothers Inc. governing your access to and use of the ArgoPrep website located at www.argoprep.com, our mobile applications (if any), and all related services, features, content, and functionality offered by ArgoPrep.

You must be at least eighteen (18) years of age, or the age of legal majority in your jurisdiction of residence (whichever is greater), to create an account on ArgoPrep. The Service is intended for use by children only under the supervision and with the consent of a parent or legal guardian. By creating an account and adding one or more child sub-accounts, you represent and warrant that you are the parent or legal guardian of each child for whom you create a sub-account, or that you have obtained all necessary authorizations from the child's parent or legal guardian.

As the holder of a parent account, you are solely responsible for all activity that occurs under your account, including all activity on any child sub-accounts linked to your parent account. You agree to supervise your child's use of the Service and to ensure that such use complies with these Terms.

2. Definitions

The following defined terms shall have the meanings set forth below when used in these Terms of Service. Terms not defined in this section shall have their plain and ordinary meaning.

• "Service" or "Platform" means the ArgoPrep website located at www.argoprep.com, any associated mobile applications, and all related services, features, tools, content, and functionality provided by Argo Brothers Inc., including but not limited to the educational platform, the physical workbook store, and all digital and physical products offered therein.
• "Content" means all text, images, graphics, illustrations, audio, video, practice questions, quizzes, practice drills, worksheets, e-books, video lectures, workbook descriptions, educational materials, software, code, data, and any other materials made available through the Service, whether created by ArgoPrep or licensed from third parties.
• "User" means any individual who accesses or uses the Service, whether or not they have created an account or purchased a subscription.
• "Subscriber" means a User who has purchased an active subscription plan (Monthly, Annual, or Lifetime).
• "Parent Account" means the primary account created by an adult (age 18 or older, or the age of majority in their jurisdiction) that serves as the master account through which child sub-accounts are created and managed. The Parent Account holder is responsible for billing, account settings, and all activity under the account.
• "Child Account" or "Child Sub-Account" means a sub-account created by the Parent Account holder within their parent account for a minor child. Each Child Account is associated with a first name and last name for the child (legal names are not required — parents may use nicknames or any names they use to identify the child) and grade level and provides the child with access to age-appropriate educational content on the Platform.
• "Workbook" means a physical, printed educational book offered for sale through the ArgoPrep online store, which may be shipped to the purchaser's address within the United States.
• "E-Book" means a digital, electronic version of an educational book or resource made available through the Platform for online viewing and/or download, subject to the license terms set forth in these Terms.

3. Account Registration & Management

3.1 Registration Requirements

To access the full features of the Service, you must create a Parent Account by selecting and purchasing a subscription plan. During registration, you will be required to provide the following information: your first name, last name, a valid email address, a password, and payment information. ArgoPrep does not offer free accounts; account creation requires an active paid subscription. You represent and warrant that all information you provide during registration is accurate, current, and complete. You agree to promptly update your account information if any of it changes.

3.2 Parent Access Code

Upon account creation, you will be prompted to establish a four-digit personal identification number ("Parent Access Code" or "PIN"). This PIN is used to authenticate the parent or guardian when switching between child sub-accounts and when accessing account management features. You are responsible for keeping your Parent Access Code confidential and secure.

3.3 Child Sub-Accounts

The Parent Account holder may create one or more Child Sub-Accounts within their parent account. To create a Child Sub-Account, the parent must provide a first name and last name for the child (legal names are not required — parents may use nicknames) and the child's current grade level. The number of Child Sub-Accounts you may create is determined by your subscription plan and pricing tier. Child Sub-Accounts do not have independent login credentials; access to child profiles is managed through the Parent Account and secured by the Parent Access Code.

3.4 Account Security

You are solely responsible for maintaining the confidentiality of your account credentials, including your email address, password, and Parent Access Code. You agree to take all reasonable steps to prevent unauthorized access to your account. You must notify ArgoPrep immediately at info@argoprep.com if you become aware of or suspect any unauthorized use of your account or any other breach of security. ArgoPrep shall not be liable for any loss or damage arising from your failure to maintain the security of your account credentials.

3.5 Account Termination by ArgoPrep

ArgoPrep reserves the right to suspend, disable, or terminate any account at any time and at its sole discretion, with or without notice, for any reason, including but not limited to a violation of these Terms, suspected fraudulent activity, extended periods of inactivity, or any conduct that ArgoPrep believes may harm the Service or other users.

3.6 No Account Sharing or Transfer

Your account is intended for use by the parent(s) or legal guardian(s) in the household who created it. Both parents or guardians in a household may share access to the same Parent Account. You may not share your account credentials with individuals outside your household, and you may not assign or transfer your account to any other individual or entity. Each household is limited to one Parent Account. Creating multiple Parent Accounts to circumvent subscription limitations or pricing is strictly prohibited and may result in termination of all associated accounts.

4. Privacy

Your privacy is important to us. Our collection, use, storage, and disclosure of personal information is governed by our Privacy Policy, which is incorporated into and made a part of these Terms by reference. By using the Service, you acknowledge that you have read and understood our Privacy Policy and consent to the practices described therein.

ArgoPrep is committed to compliance with all applicable privacy laws and regulations, including but not limited to the Children's Online Privacy Protection Act ("COPPA"), the New York Child Data Protection Act ("NY CDPA"), and other applicable federal and state privacy laws. We take the protection of children's personal information very seriously.

5. Subscription Plans & Billing

5.1 Available Subscription Plans

ArgoPrep offers the following subscription plans for access to our educational content:

• Monthly Plan: Starting at $12.99 per month for Math and English Language Arts (ELA) for one (1) child. Pricing varies based on the number of children and additional subject add-ons (e.g., Science, Social Studies) selected. This plan auto-renews on a monthly basis until cancelled by the Subscriber.
• Annual Plan: Starting at the annual equivalent of $9.99 per month (charged as a single annual payment) for Math and ELA for one (1) child. Pricing varies based on the number of children and additional subject add-ons selected. This plan auto-renews on an annual basis until cancelled by the Subscriber.
• Lifetime Plan: A one-time lump-sum payment granting access to the Service for as long as the Service remains available. The base price for the Lifetime Plan is $499.99 for Math and ELA for one (1) child. Pricing for the Lifetime Plan varies based on the number of children added and any additional subject add-ons selected at the time of purchase.

5.2 Subjects and Add-Ons

All subscription plans include access to core subjects: Mathematics ("Math") and English Language Arts ("ELA"). Additional subjects, including Science and Social Studies, may be added to your subscription for an additional fee. The availability and pricing of subject add-ons may vary by plan type and are displayed during the subscription checkout process.

5.3 Number of Children

Subscription pricing may vary based on the number of Child Sub-Accounts included in your plan. The applicable pricing for each configuration is displayed during the subscription selection and checkout process.

5.4 Currency and Pricing

All prices displayed on the Service are denominated in United States Dollars (USD). Prices are subject to change at ArgoPrep's discretion; however, any price changes will not affect the current billing period of an active subscription. ArgoPrep will provide advance notice of any price increases in accordance with Section 6 of these Terms.

5.5 Payment Processing

All payments are processed securely through Stripe, a third-party payment processor. By providing your payment information, you authorize ArgoPrep and Stripe to charge the applicable subscription fees to your designated payment method. Your use of Stripe's payment services is subject to Stripe's own terms and conditions and privacy policy. ArgoPrep does not store your full credit card number on our servers.

6. Auto-Renewal & Cancellation

6.1 Auto-Renewal

Monthly and Annual subscription plans are set to auto-renew automatically at the end of each billing period at the then-current subscription rate, unless you cancel your subscription before the renewal date. By subscribing to a Monthly or Annual plan, you expressly authorize ArgoPrep to charge the applicable renewal fee to your payment method on file at the beginning of each new billing period.

6.2 Renewal Notices

In compliance with New York General Obligations Law Section 5-903 and other applicable auto-renewal laws, ArgoPrep will provide advance notice to Annual subscribers no fewer than five (5) days before the renewal date, reminding you that your subscription is about to renew and informing you of the renewal charge amount. For Monthly subscribers, your continued use of the Service after each monthly billing cycle constitutes your acknowledgment and acceptance of the recurring charge.

6.3 Price Increase Notice

If ArgoPrep increases the price of your subscription plan, we will provide you with advance notice of the price change via email before your next renewal date. The notice will include the new price and the date on which it will take effect. You will have the option to cancel your subscription before the new price takes effect. If you do not cancel before the effective date of the price increase, your continued subscription will be charged at the new rate.

6.4 How to Cancel

You may cancel your subscription at any time through any of the following methods:

• Online: Log in to your ArgoPrep account, navigate to your account settings, and click on the "Plans & Billing" page. Follow the on-screen instructions to cancel your subscription.
• Email: Send a cancellation request to info@argoprep.com. Please include your account email address and a clear statement that you wish to cancel your subscription.
• Phone: Call us at 929-500-ARGO (929-500-2746) during business hours to request cancellation.

The cancellation process is designed to be as easy and straightforward as the sign-up process. You will not be required to call to cancel if you signed up online; online cancellation is always available.

6.5 Effect of Cancellation

Upon cancellation, your subscription will remain active until the end of the current billing period for which you have already paid. You will continue to have access to all premium content and features until the expiration of that billing period. No partial or prorated refunds will be issued for any remaining unused portion of the current billing period. After your subscription expires, your access to premium content will be discontinued.

6.6 Lifetime Plan

The Lifetime Plan is a one-time purchase and does not auto-renew. No recurring charges will be applied. Once purchased, the Lifetime Plan provides access to the Service for as long as the ArgoPrep Service remains available and operational. ArgoPrep does not guarantee perpetual availability of the Service.

7. Refund Policy

7.1 Subscription Refunds (Monthly and Annual Plans)

ArgoPrep offers a three (3) day money-back guarantee for Monthly and Annual subscription plans. If you are not satisfied with the Service, you may request a full refund within three (3) days of your initial subscription purchase date. Refund requests made after the three-day period will not be honored. To request a refund, contact us at info@argoprep.com or call 929-500-ARGO (929-500-2746).

7.2 Lifetime Plan Refunds

The Lifetime Plan is subject to a three (3) day money-back guarantee from the date of purchase. If you are not satisfied with the Lifetime Plan, you may request a full refund within three (3) days of the purchase date. Refund requests made after this three-day period will not be honored.

7.3 Physical Workbook Returns

Physical workbooks purchased through the ArgoPrep online store may be returned within thirty (30) days of the delivery date, subject to the following conditions:

• The workbook must be in new and unused condition, free from writing, markings, damage, or wear.
• The workbook must be returned in its original packaging, if applicable.
• The customer is responsible for all return shipping costs, unless the return is due to a defective or damaged item (see Section 7.4).
• Refunds for returned workbooks will be processed to the original payment method within ten (10) business days of ArgoPrep's receipt and inspection of the returned item.

7.4 Defective or Damaged Items

If you receive a physical workbook that is defective, damaged, or materially different from the item described on the ArgoPrep store, please contact us at info@argoprep.com within thirty (30) days of delivery. ArgoPrep will cover the cost of return shipping for defective or damaged items and will, at its sole discretion, provide a full replacement or a complete refund to your original payment method.

7.5 E-Book Refunds

Due to the nature of digital content, e-books are non-refundable once they have been accessed or downloaded. By purchasing and accessing or downloading an e-book, you acknowledge and agree that you are waiving any right to a refund for that e-book.

8. Electronic Communications

By creating an account on ArgoPrep or by sending an email to ArgoPrep, you consent to receive electronic communications from us. These electronic communications may include, but are not limited to:

• Transactional communications: Account confirmations, subscription receipts, billing notifications, renewal reminders, password reset emails, order confirmations, shipping notifications, and other communications directly related to your account or transactions with ArgoPrep.
• Service-related communications: Notifications about changes to the Service, updates to these Terms or our Privacy Policy, security alerts, and other administrative messages.
• Marketing and promotional communications: Information about new features, content updates, educational tips, special offers, promotions, and other marketing materials from ArgoPrep.

Transactional and service-related communications are essential to the operation of your account and the delivery of the Service. These communications are not marketing in nature and you may not opt out of receiving them while your account remains active.

Marketing and promotional communications may be opted out of at any time by clicking the "unsubscribe" link included in the footer of any marketing email from ArgoPrep, or by contacting us at info@argoprep.com. Please allow up to ten (10) business days for your opt-out request to be processed.

You agree that all agreements, notices, disclosures, and other communications that ArgoPrep provides to you electronically satisfy any legal requirement that such communications be in writing.

9. SMS/Text Message Communications

9.1 Program Name

ArgoPrep SMS Customer Support

9.2 Opt-In and Consent

ArgoPrep offers SMS-based customer support as a convenience for our customers. You may opt in to receive SMS text messages from ArgoPrep by calling 929-500-ARGO (929-500-2746) and pressing "1" during the automated phone menu (Interactive Voice Response system). Before you press "1," a voice prompt will clearly inform you that you will receive a text message for support purposes. By pressing "1," you provide your express consent to receive SMS text messages from ArgoPrep at the phone number from which you are calling.

9.3 Types of Messages

ArgoPrep will only send SMS text messages that are directly related to your customer support request. These messages may include:

• Responses to billing inquiries
• Product guidance, such as assistance in locating workbook video explanations
• Technical support for website issues
• General support follow-ups related to your inquiry

9.4 Message Frequency

Message frequency varies depending on the nature and scope of your customer support needs. ArgoPrep does not send automated recurring text messages. Messages are sent only in direct response to your support requests or as follow-ups to open support inquiries.

9.5 Message and Data Rates

Standard message and data rates may apply to any SMS text messages you send to or receive from ArgoPrep, depending on your mobile carrier plan. ArgoPrep is not responsible for any fees or charges imposed by your mobile carrier.

9.6 Opt-Out

You may opt out of receiving SMS text messages from ArgoPrep at any time by replying STOP to any text message received from ArgoPrep. Upon receiving your STOP request, ArgoPrep will send a single confirmation message acknowledging your opt-out, and you will no longer receive SMS text messages from ArgoPrep unless you opt in again.

9.7 Help

For assistance with the ArgoPrep SMS program, reply HELP to any text message received from ArgoPrep. You will receive a message containing ArgoPrep's customer support contact information.

9.8 No Promotional or Marketing Messages

ArgoPrep will NOT use your phone number for promotional, marketing, or advertising messages. All SMS text messages from ArgoPrep are strictly limited to customer support purposes directly related to your inquiry or request.

9.9 No Sharing of Phone Numbers

Phone numbers collected through the ArgoPrep SMS customer support system will NOT be shared with, sold to, rented to, or disclosed to any third parties for marketing or any other purpose unrelated to providing you with customer support.

9.10 Modifications to SMS Program

ArgoPrep reserves the right to modify, suspend, or discontinue the SMS customer support program at any time without prior notice. In the event of discontinuation, ArgoPrep will make reasonable efforts to notify affected users.

10. E-Commerce Terms (Physical Workbook Store)

10.1 Product Descriptions

ArgoPrep strives to ensure that all product descriptions, images, and specifications displayed on our online store are accurate and complete. However, we do not warrant that product descriptions or other content on the store are error-free, complete, or current. If a product you receive does not match its description on the website, your sole remedy is to return the product in accordance with our return policy set forth in Section 7 of these Terms.

10.2 Pricing

All prices for physical workbooks and other products in the ArgoPrep store are displayed in United States Dollars (USD). ArgoPrep reserves the right to change prices at any time without prior notice. In the event of a pricing error, ArgoPrep reserves the right to cancel any orders placed at the incorrect price, even if the order has been confirmed or your payment method has been charged. In such cases, ArgoPrep will promptly issue a full refund. Prices are subject to change without notice, but changes will not affect orders that have already been confirmed and shipped.

10.3 Order Acceptance

The placement of an order through the ArgoPrep store constitutes an offer by you to purchase the selected products. ArgoPrep's receipt of your order does not constitute acceptance. Acceptance of your order occurs when ArgoPrep sends you an order confirmation email. ArgoPrep reserves the right to refuse or cancel any order for any reason, including but not limited to product unavailability, errors in product or pricing information, or suspected fraudulent activity.

10.4 Shipping

ArgoPrep offers free standard delivery on all physical workbook orders. ArgoPrep ships to addresses within the United States only. We do not currently offer international shipping for physical products. Estimated delivery times are provided for informational purposes only and are not guaranteed. ArgoPrep is not responsible for delays caused by carriers, weather, customs, or other factors beyond our reasonable control.

10.5 Risk of Loss

Title to and risk of loss for all physical products purchased through the ArgoPrep store pass from ArgoPrep to you upon delivery of the products to the shipping carrier. ArgoPrep is not responsible for loss, damage, or delay that occurs after the products have been delivered to the carrier. If your order is lost or damaged during shipping, please contact us at info@argoprep.com and we will work with you to resolve the issue.

10.6 Sales Tax

Applicable sales tax will be added to your order total where required by law. The amount of sales tax charged is determined by the shipping destination and applicable state and local tax rates in effect at the time of purchase.

11. Digital Content License

11.1 License Grant

Subject to your compliance with these Terms and your payment of all applicable subscription fees, ArgoPrep grants you a limited, non-exclusive, non-transferable, revocable license to access and use the digital Content available through the Service solely for your personal, non-commercial, educational use (and the personal, non-commercial, educational use of the children on your Child Sub-Accounts). This license does not convey any ownership interest in the Content.

11.2 E-Books

E-books purchased or included with your subscription may be viewed on the ArgoPrep platform and, where the functionality is available, downloaded to your personal device. You may not redistribute, share, lend, rent, sublicense, resell, or otherwise transfer any e-book to any third party. E-books are licensed, not sold, and remain the intellectual property of Argo Brothers Inc.

11.3 Worksheets

Worksheets available on the Platform may be downloaded and printed for personal educational use by the children on your account. You may not redistribute, publish, post online, sell, or use worksheets for any commercial purpose, including but not limited to use in a tutoring business, classroom distribution beyond your own children, or resale.

11.4 Video Lectures

Video lectures are available for streaming access only through the ArgoPrep platform. You may not download, record, screen-capture, reproduce, redistribute, or otherwise copy any video lecture content. Unauthorized recording or redistribution of video lectures is strictly prohibited and may result in termination of your account and legal action.

11.5 Practice Questions and Quizzes

Practice questions, quizzes, practice drills, and other interactive educational content are accessible only through the ArgoPrep platform. You may not reproduce, copy, distribute, or create derivative works from these materials. This content is provided for use within the Platform environment only.

11.6 Ownership

All Content, including but not limited to e-books, worksheets, video lectures, practice questions, quizzes, and all other educational materials available through the Service, is and shall remain the exclusive property of Argo Brothers Inc. Nothing in these Terms transfers any ownership rights in the Content to you.

12. Intellectual Property

12.1 Ownership

All Content, materials, features, and functionality available on or through the Service, including but not limited to text, graphics, logos, icons, images, audio clips, video clips, data compilations, software, and the overall design and layout of the Service, are owned by Argo Brothers Inc. or its licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

12.2 Trademarks

The "ArgoPrep" name, the ArgoPrep logo, the ArgoPrep mascot, and all related names, logos, product and service names, designs, and slogans are trademarks of Argo Brothers Inc. or its affiliates. You may not use these marks without the prior written permission of Argo Brothers Inc. All other names, logos, product and service names, designs, and slogans appearing on the Service are the trademarks of their respective owners.

12.3 Restrictions

Except as expressly permitted in these Terms, you may not copy, reproduce, modify, adapt, translate, distribute, transmit, display, perform, sell, license, sublicense, or create derivative works from any Content or materials available on or through the Service. You may not frame, mirror, or use any ArgoPrep trademarks, logos, or proprietary information without the express written consent of Argo Brothers Inc.

12.4 Limited Fair Use

Nothing in these Terms is intended to restrict uses that qualify as fair use under 17 U.S.C. Section 107. You may use limited portions of ArgoPrep Content for personal, non-commercial educational purposes to the extent permitted by applicable copyright law. This does not include the right to reproduce, distribute, or create derivative works for commercial purposes.

13. DMCA / Copyright Infringement

13.1 Respect for Intellectual Property

ArgoPrep respects the intellectual property rights of others and expects its users to do the same. In accordance with the Digital Millennium Copyright Act of 1998 ("DMCA"), 17 U.S.C. Section 512, ArgoPrep will respond promptly to claims of copyright infringement committed using the Service.

13.2 DMCA Takedown Notice

If you believe that any content on the ArgoPrep platform infringes your copyright, you may submit a written notification to our designated DMCA agent containing the following information:

• A physical or electronic signature of the copyright owner or a person authorized to act on behalf of the copyright owner.
• Identification of the copyrighted work claimed to have been infringed, or, if multiple copyrighted works are covered by a single notification, a representative list of such works.
• Identification of the material that is claimed to be infringing or to be the subject of infringing activity and that is to be removed or access to which is to be disabled, and information reasonably sufficient to permit ArgoPrep to locate the material.
• Contact information for the complaining party, including name, address, telephone number, and, if available, email address.
• A statement that the complaining party has a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law.
• A statement, made under penalty of perjury, that the information in the notification is accurate and that the complaining party is authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.

13.3 Counter-Notification

If you believe that material you posted on the Service was removed or access to it was disabled by mistake or misidentification, you may submit a written counter-notification to our designated DMCA agent containing the following:

• Your physical or electronic signature.
• Identification of the material that was removed or to which access was disabled, and the location at which the material appeared before it was removed or access to it was disabled.
• A statement under penalty of perjury that you have a good faith belief that the material was removed or disabled as a result of mistake or misidentification.
• Your name, address, and telephone number, and a statement that you consent to the jurisdiction of the federal court for the judicial district in which your address is located (or, if your address is outside the United States, the United States District Court for the Eastern District of New York), and that you will accept service of process from the person who provided the original DMCA notification or an agent of such person.

13.4 Repeat Infringer Policy

ArgoPrep maintains a policy of terminating the accounts of users who are repeat infringers of intellectual property rights, in appropriate circumstances and at ArgoPrep's sole discretion.

All DMCA notices and counter-notifications should be sent to ArgoPrep's designated DMCA agent at the following address:

14. No Unlawful or Prohibited Use

As a condition of your use of the Service, you agree that you will not use the Service for any purpose that is unlawful or prohibited by these Terms. Specifically, you agree that you will not:

• Use the Service or any Content for any commercial purpose, including but not limited to resale, redistribution, tutoring services, classroom distribution (unless you are the parent/guardian of the students), or any revenue-generating activity, without the prior written consent of Argo Brothers Inc.
• Use any automated means, including but not limited to bots, scrapers, crawlers, spiders, data mining tools, or any other automated technology, to access, collect, harvest, or extract data, Content, or information from the Service.
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, underlying algorithms, or structure of any software, technology, or system used in connection with the Service.
• Attempt to gain unauthorized access to any portion of the Service, other user accounts, computer systems, or networks connected to the Service through hacking, password mining, or any other means.
• Use the Service in any manner that violates any applicable federal, state, local, or international law, regulation, or ordinance.
• Share, lend, transfer, sell, or otherwise provide your account credentials or access to any third party, or allow any individual who is not an authorized user under your subscription plan to access the Service through your account.
• Upload, transmit, or introduce any viruses, worms, Trojan horses, malware, ransomware, or any other malicious or harmful code to the Service or any related systems.

ArgoPrep reserves the right to investigate and take appropriate legal action against anyone who, in ArgoPrep's sole discretion, violates this provision, including without limitation removing offending content, suspending or terminating the account of such violators, and reporting such activity to law enforcement authorities.

15. Links to Third-Party Sites/Services

As of the effective date of these Terms, ArgoPrep does not link to, embed, or redirect users to any third-party websites, applications, or services from within the Platform.

This may change in the future. If ArgoPrep introduces hyperlinks, references, or integrations to websites, applications, or services operated by third parties ("Third-Party Services"), such links will be provided solely for your convenience and informational purposes. ArgoPrep does not control, endorse, sponsor, or assume responsibility for any Third-Party Services.

If Third-Party Services are introduced, they will be governed by their own terms of service, privacy policies, and other agreements. ArgoPrep will not be responsible for the content, accuracy, privacy practices, security, availability, or any other aspect of any Third-Party Service. Your use of any Third-Party Service would be at your own risk.

ArgoPrep shall not be liable for any loss, damage, or harm of any kind arising from or in connection with your use of or reliance on any Third-Party Service linked to or referenced on the ArgoPrep platform.

16. Disclaimer of Warranties

THE SERVICE, INCLUDING ALL CONTENT, FEATURES, FUNCTIONALITY, AND MATERIALS PROVIDED THROUGH THE SERVICE, IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ARGO BROTHERS INC. EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING, USAGE, OR TRADE PRACTICE.

WITHOUT LIMITING THE FOREGOING, ARGO BROTHERS INC. MAKES NO WARRANTY OR REPRESENTATION THAT:

• THE SERVICE WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS;
• THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE;
• THE RESULTS OBTAINED FROM THE USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE;
• ANY ERRORS IN THE SERVICE OR CONTENT WILL BE CORRECTED;
• THE SERVICE WILL BE AVAILABLE AT ALL TIMES OR IN ALL LOCATIONS.

Some jurisdictions do not allow the exclusion of certain warranties or limitations on applicable statutory rights of a consumer, so some of the above exclusions and limitations may not apply to you. In such jurisdictions, the liability of Argo Brothers Inc. shall be limited to the greatest extent permitted by law.

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ARGO BROTHERS INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, OR ASSIGNS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:

• YOUR USE OF OR INABILITY TO USE THE SERVICE;
• ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS AND/OR ANY PERSONAL INFORMATION STORED THEREIN;
• ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE SERVICE;
• ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE THAT MAY BE TRANSMITTED TO OR THROUGH THE SERVICE BY ANY THIRD PARTY;
• ANY ERRORS OR OMISSIONS IN ANY CONTENT OR FOR ANY LOSS OR DAMAGE INCURRED AS A RESULT OF THE USE OF ANY CONTENT POSTED, EMAILED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE THROUGH THE SERVICE;
• ANY ACTIONS OR OMISSIONS OF THIRD PARTIES, INCLUDING BUT NOT LIMITED TO PAYMENT PROCESSORS, SHIPPING CARRIERS, AND OTHER SERVICE PROVIDERS.

IN NO EVENT SHALL THE AGGREGATE LIABILITY OF ARGO BROTHERS INC. ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICE EXCEED THE TOTAL AMOUNT PAID BY YOU TO ARGOPREP DURING THE TWELVE (12) MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. IF YOU HAVE NOT PAID ANY AMOUNTS TO ARGOPREP DURING SUCH PERIOD, ARGOPREP'S TOTAL LIABILITY SHALL NOT EXCEED FIFTY UNITED STATES DOLLARS ($50.00).

The limitations of liability set forth in this section shall apply regardless of the form of action, whether based on warranty, contract, tort (including negligence), strict liability, or any other legal theory, and even if ArgoPrep has been advised of the possibility of such damages.

Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages, so some of the above limitations may not apply to you. In such jurisdictions, the liability of Argo Brothers Inc. shall be limited to the greatest extent permitted by applicable law.

18. Indemnification

You agree to defend, indemnify, and hold harmless Argo Brothers Inc., its officers, directors, employees, agents, affiliates, licensors, successors, and assigns (collectively, the "Indemnified Parties") from and against any and all claims, demands, actions, losses, liabilities, damages, costs, and expenses (including, without limitation, reasonable attorneys' fees and court costs) arising out of or in connection with:

• Your use of, or access to, the Service;
• Your violation of any provision of these Terms of Service;
• Your violation of any applicable law, regulation, or ordinance;
• Your violation or infringement of any third-party right, including but not limited to any intellectual property right, privacy right, publicity right, or other proprietary right;
• Any misuse of the Service by you or by any person using your account;
• Any content, data, or information you submit, post, or transmit through the Service;
• Any claim by a third party that is related to your use of the Service.

ArgoPrep reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you agree to cooperate with ArgoPrep in asserting any available defenses. You agree not to settle any such claim or matter without the prior written consent of Argo Brothers Inc. This indemnification obligation shall survive the termination or expiration of these Terms and your use of the Service.

19. Dispute Resolution & Arbitration

19.1 Governing Law

These Terms and any disputes arising out of or related to these Terms or your use of the Service shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles.

19.2 Informal Dispute Resolution

Before initiating any formal dispute resolution proceeding, you agree to first attempt to resolve the dispute informally by contacting ArgoPrep at info@argoprep.com. You must include a written description of the dispute, relevant documentation, and the relief you seek. ArgoPrep will attempt to resolve the dispute informally within thirty (30) days of receipt of your notice. If the dispute is not resolved within this thirty-day period, either party may proceed with formal dispute resolution as set forth below.

19.3 Binding Arbitration

If the dispute cannot be resolved informally, you and ArgoPrep agree that any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, or to the use of the Service (collectively, "Disputes"), shall be resolved exclusively through final and binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules then in effect, except as modified by this section. The AAA Rules are available at www.adr.org or by calling 1-800-778-7879.

19.4 Arbitration Location

The arbitration shall take place in Brooklyn, New York, or, at the election of the claimant, may be conducted remotely via telephone, video conference, or other means as permitted by the AAA Rules.

Notwithstanding the foregoing, either party may bring an individual action in small claims court in Kings County, New York, for disputes or claims that are within the scope of the small claims court's jurisdiction.

19.7 Opt-Out Right

You have the right to opt out of the binding arbitration and class action waiver provisions of this section. To opt out, you must send written notice to ArgoPrep at info@argoprep.com within thirty (30) days of the date you first create your ArgoPrep account. Your opt-out notice must include your full name, the email address associated with your ArgoPrep account, and a clear statement that you wish to opt out of the arbitration provision. If you timely opt out, neither you nor ArgoPrep will be required to arbitrate disputes, and either party may bring claims in court of competent jurisdiction. If you do not opt out within the thirty-day period, you will be bound by this arbitration provision.

19.8 Arbitration Costs

For claims with an amount in controversy of less than $10,000, ArgoPrep will pay all AAA filing fees and arbitrator compensation. For claims with an amount in controversy of $10,000 or more, the payment of AAA filing fees and arbitrator compensation shall be governed by the AAA Consumer Arbitration Rules. Regardless of the outcome of the arbitration, each party shall bear its own attorneys' fees and costs unless the arbitrator determines that an award of fees or costs is warranted under applicable law.

19.9 Intellectual Property Claims Exception

Notwithstanding the provisions of this section, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights, including but not limited to copyrights, trademarks, trade secrets, and patents, without first engaging in arbitration or the informal dispute resolution process described above.

20. International Users

The ArgoPrep Service is controlled, operated, and administered from the United States of America, specifically from the State of New York. ArgoPrep makes no representation or warranty that the Service or any Content is appropriate or available for use in locations outside the United States.

If you access the Service from outside the United States, you do so at your own risk and are solely responsible for compliance with all applicable local, national, and international laws, regulations, and ordinances, including but not limited to data privacy laws, export control regulations, and consumer protection laws.

Please note that physical workbook shipping is available only within the United States. ArgoPrep does not currently ship physical products to international destinations. Digital content access may be available outside the United States, but ArgoPrep does not guarantee the availability, performance, or suitability of the digital Service in any particular jurisdiction outside the United States.

22. Termination

22.1 Termination by ArgoPrep

ArgoPrep reserves the right to suspend, restrict, or terminate your access to the Service, in whole or in part, at any time and for any reason, with or without cause and with or without prior notice. Reasons for termination may include, but are not limited to: violation of these Terms, suspected fraudulent or illegal activity, conduct harmful to other users or to ArgoPrep's interests, extended account inactivity, or upon request by law enforcement or other governmental authorities.

22.2 Termination by You

You may terminate your relationship with ArgoPrep at any time by cancelling your subscription through the methods described in Section 6 of these Terms and closing your account. To close your account, contact us at info@argoprep.com with a request to delete your account. Account deletion is subject to our data retention obligations as described in our Privacy Policy.

22.3 Effects of Termination

Upon termination of your account, whether by you or by ArgoPrep:

• Your right to access and use the Service will immediately cease (or at the end of the current billing period, if applicable).
• Any Content you have downloaded (such as worksheets or e-books, where download functionality was provided) may be retained on your personal devices, subject to the license terms in Section 11.
• ArgoPrep may delete your account data in accordance with our Privacy Policy and applicable law.
• ArgoPrep shall not be liable to you or any third party for the termination of your access to the Service.

22.4 Surviving Provisions

The following sections of these Terms shall survive any termination or expiration of these Terms: Intellectual Property (Section 12), Disclaimer of Warranties (Section 16), Limitation of Liability (Section 17), Indemnification (Section 18), Dispute Resolution & Arbitration (Section 19), and any other provisions that by their nature are intended to survive termination.

23. Changes to Terms

ArgoPrep reserves the right to modify, amend, or update these Terms of Service at any time and at its sole discretion. Changes may be made for various reasons, including but not limited to changes in applicable law, changes in our business practices, introduction of new features or services, or for clarification purposes.

When we make material changes to these Terms, we will notify you by one or more of the following methods:

• Sending an email to the email address associated with your account;
• Displaying a prominent notice on the ArgoPrep website or within the Service;
• Updating the "Effective Date" at the top of these Terms.

Your continued use of the Service after the effective date of any revised Terms constitutes your acceptance of and agreement to the modified Terms. If you do not agree with the revised Terms, you must discontinue your use of the Service and cancel your subscription.

The most current version of these Terms of Service will always be available on our website at argoprep.com/terms. We encourage you to review these Terms periodically to stay informed about any changes.

24. Severability

If any provision of these Terms of Service is found by a court of competent jurisdiction or an arbitrator to be invalid, illegal, or unenforceable for any reason, such finding shall not affect the validity, legality, or enforceability of any other provision of these Terms. The invalid, illegal, or unenforceable provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving the original intent of the provision. If such modification is not possible, the offending provision shall be deemed severed from these Terms, and the remaining provisions shall continue in full force and effect.

The failure of ArgoPrep to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if made in writing and signed by an authorized representative of Argo Brothers Inc.

25. Entire Agreement

These Terms of Service, together with the Privacy Policy, constitute the entire agreement between you and Argo Brothers Inc. with respect to your use of the ArgoPrep Service, and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, with respect to the subject matter hereof.

No additional terms, conditions, or modifications to these Terms shall be binding upon ArgoPrep unless made in writing and signed by an authorized representative of Argo Brothers Inc. Any terms or conditions contained in any purchase order, invoice, or other document submitted by you that are inconsistent with or in addition to these Terms are hereby rejected and shall have no force or effect.

All documents constituting part of this agreement are written and published in the English language. The English language version of these Terms shall control in the event of any conflict or ambiguity.
